ViralPypes Terms of Service

IMPORTANT: THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION CLAUSE AND A CLASS ACTION WAIVER. PLEASE REVIEW THE DISPUTE RESOLUTION SECTION CAREFULLY.

THESE TERMS OF SERVICE GOVERN YOUR SUBSCRIPTION TO AND USE OF THE VIRALPYPES PLATFORM AND SERVICES. BY CREATING AN ACCOUNT OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS.

You represent that (1) you have read, understand, and agree to these Terms of Service, (2) you are of legal age to form a binding contract, (3) the information you provide is accurate, and (4) you have the authority to enter into this agreement personally or on behalf of the business entity you represent.

These Terms of Service, in combination with our Privacy Policy (collectively the “Terms”), become a binding legal commitment between you (or the business entity you represent) and ViralPypes operating as ViralPypes (“ViralPypes,” “we,” or “us”).

ViralPypes reserves the right to make changes to these Terms at any time. Your continued use of the Platform following any revisions constitutes your acceptance of the updated Terms.

Platform Provider Acknowledgment: The ViralPypes platform is a white-labeled service powered by the underlying technology of HighLevel Inc. (“HighLevel”). By using our Platform, you acknowledge that while your agreement is with ViralPypes, your use of the service is also subject to the acceptable use policies of our technology provider. ViralPypes is your point of contact for all support, billing, and service-related inquiries.

You should consult a lawyer for legal advice to ensure your use of the Platform complies with these Terms and applicable law.

1. Use of Platform

1.1. Restrictions. You must be at least 18 years old to use the Platform. The Platform is for business use only.

1.2. Platform Account Ownership. Your use of the Platform is conditioned on your provision of complete, current, and accurate information. The business entity you register is the owner of the account. ViralPypes reserves the right to determine rightful account ownership in case of a dispute.

1.3. Intended Use. You and your users may use the Platform only for lawful purposes and in accordance with these Terms. You are fully responsible for the actions of your employees, agents, and any users who access the Platform through your account. You will not, and will ensure your users do not, reverse engineer, decompile, or otherwise attempt to discover the source code of the Platform.

1.4. Compliance. You are solely responsible for your use of the Platform and Services, including the integrity of your data and compliance with all applicable laws and regulations (e.g., HIPAA, data privacy laws).

1.5. Privacy. By using the Platform, you consent to ViralPypes’s use and disclosure of your information in accordance with our Privacy Policy. You must implement and enforce your own terms of service and privacy policy for your end-users, providing a level of protection at least equal to that provided by ViralPypes.

1.6. Login Credentials. You are responsible for maintaining the confidentiality of your login credentials and for all uses of your account. Notify us immediately of any unauthorized use.

1.7. Use of Communication Services. The Platform includes communication features (SMS, email, voice calls). You are exclusively responsible for all communications sent from your account and for complying with all relevant laws (e.g., TCPA, CAN-SPAM). ViralPypes is a technology platform provider ONLY; you control and initiate all messages.

1.8. Third-Party Services. The Platform may integrate with third-party services. ViralPypes is not responsible for any act or omission of any third-party provider or the operation of their services. Your use of third-party services is governed by your agreement with them.

1.9. Platform Updates. We reserve the right to make updates or changes to the Platform at any time.

2. Code of Conduct.
You represent and warrant that, when using the Platform, you will comply with the Code of Conduct set forth in Exhibit A of these Terms. A violation of the Code of Conduct is a material breach and may result in the immediate suspension or termination of your account.

3. Payment

3.1. Fees and Auto-Renewal. You agree to provide accurate billing information. Your use of the Platform is subject to the timely payment of all fees, which may include subscription fees and usage-based surcharges. Subscription fees will be billed in advance on a monthly or annual basis and will be automatically charged to the card on file.

3.2. Late Payments and Disputes. If we are unable to process your payment, we may suspend or terminate your account. In the event of a dispute, you must notify us in writing within thirty (30) days of the invoice date.

3.3. Cancellations. You are solely responsible for the proper cancellation of your account. You may cancel your subscription through your Platform account or by contacting our support team at [Your Support Email]. You will be responsible for all fees incurred until cancellation is complete.

3.4. Refunds. All fees are non-refundable. This includes subscription fees, communication surcharges, and other service fees, regardless of whether you used the Platform during your subscription period.

3.5. Taxes. All fees are exclusive of any applicable taxes. You are exclusively responsible for all taxes associated with your use of the Platform.

4. Affiliate Program
ViralPypes may, from time to time, offer an affiliate program. Participation in such a program will be governed by a separate Affiliate Agreement.

5. Intellectual Property

5.1. Platform Content. The Platform and its content are the property of ViralPypes and its licensors (including HighLevel Inc.) and are protected by intellectual property laws.

5.2. ViralPpes Marks. The ViralPypes name, logo, and related marks are trademarks of ViralPypes and may not be used without our advance written permission.

5.3. User Contributions. You grant ViralPypes the right to use, reproduce, and disclose any content you post or submit to the Platform for the purpose of providing our services. You are responsible for the legality and accuracy of your contributions.

5.4. Copyright; DMCA. If you believe your copyrights have been infringed by a user of our Platform, please notify our designated Copyright Agent at [Your DMCA/Legal Email] with a compliant DMCA Takedown Request.

6. Disclaimers
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND. YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

7. Limitation of Liability and Indemnification
IN NO EVENT SHALL VIRALPYPES BE LIABLE FOR ANY SPECIAL, PUNITIVE, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES OF ANY KIND. OUR ENTIRE LIABILITY FOR ANY CLAIMS ARISING OUT OF THESE TERMS SHALL BE LIMITED TO THE AMOUNT YOU PAID US FOR SERVICES DURING THE THREE (3) MONTH PERIOD BEFORE THE ACT GIVING RISE TO THE LIABILITY.

You agree to defend, indemnify, and hold ViralPypes harmless against all claims and liabilities arising from your use of the Platform, your breach of these Terms, or your violation of any applicable law.

8. Term and Termination
These Terms will remain in effect as long as you maintain an account. We may suspend or terminate your access to the Platform at our sole discretion, for any reason, including a breach of these Terms, with or without notice.

9. Applicable Law, Binding Arbitration, and Class Action Waiver
The laws of [Your State/Country] will govern these Terms. Any controversy or claim arising out of or relating to these Terms shall be exclusively settled by binding individual arbitration in [Your City, State/Country]. All claims must be arbitrated on an individual basis and not on a class basis.

EXHIBIT A: CODE OF CONDUCT

The following are considered Prohibited Uses of the Platform. Engaging in a Prohibited Use is a material breach of these Terms, for which ViralPypes may immediately suspend or terminate your account.

1. General Prohibitions

• You may not use the Platform to:

• Violate any applicable law or regulation.

• Exploit, harm, or attempt to harm anyone in any way.

• Transmit any unlawful advertising or promotional material, including spam, junk mail, or chain letters.

• Impersonate or attempt to impersonate ViralPypes, a ViralPypes employee, another user, or any other person or entity.

• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or which may harm ViralPypes or its users.

2. Technical Prohibitions

• You may not use the Platform to:

• Disable, overburden, damage, or impair the Platform or interfere with any other party's use of it.

• Use any robot, spider, or other automatic device to access the Platform for any purpose, including monitoring or copying material.

I• ntroduce any viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material.

• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Platform or its connected servers and databases.

• Attack the Platform via a denial-of-service (DoS) or distributed denial-of-service (DDoS) attack.

3. Content and Activity Prohibitions

• You may not use the Platform for content or activities involving:

Harmful Content: Child sexual exploitation or abuse, sexually explicit content, or the generation of hateful, harassing, or violent content.

Abusive or Fraudulent Conduct:

• Promoting or distributing spam, scams, phishing, or malware.

• Compromising cybersecurity systems or gaining unauthorized access.

• Violating any person’s rights, including privacy rights.

• Impersonating a human by presenting AI-generated results as human-generated.

• Engaging in disinformation campaigns, astroturfing, or academic dishonesty.

Illegal or Highly Regulated Services:

• Engaging in any illegal activity or providing instructions for a crime.

• Gambling, payday lending, or cryptomining.

• Making automatic eligibility determinations for credit, employment, education, or public assistance.

Engaging in the unauthorized practice of law or medicine, or providing unauthorized financial advice.

• Applications related to law enforcement, criminal justice, military, or warfare.

• Managing critical infrastructure (energy, transportation, water).

• Political campaigning or lobbying in violation of applicable laws.

EXHIBIT B: ARTIFICIAL INTELLIGENCE (AI) ACCEPTABLE USE POLICY

Your use of any AI features on the Platform is subject to the following conditions:

1. Legal and Ethical Compliance

• AI features must be used in compliance with all relevant laws, regulations, and industry standards (e.g., GDPR, CCPA, PCI DSS).

• AI features may not be used to discriminate against any person or group on any basis.

• AI features may not be used to generate individualized advice that would typically be provided by a licensed professional (e.g., medical, legal, financial advice).

• You must clearly disclose to your customers when they are interacting with an AI-based voice or chatbot.

2. Content and Behavior

• All assets created using generative AI must be professional and respectful. Offensive, abusive, discriminatory, or harassing language and behavior are strictly prohibited.

• AI features may not be used to spread misinformation or engage in malicious activities that could harm individuals or society.

3. Data and System Integrity

• You must take necessary steps to protect the confidential and sensitive information of your users and customers.

• AI usage may not damage, disable, or impair any websites or launch automated systems (like "robots" or "spiders") that send an unreasonable number of requests to servers.

4. Adherence to General Terms

• AI features may not be used in any manner prohibited by the main Terms of Service or the Code of Conduct (Exhibit A).
